About these terms
These terms govern your use of Premly. By signing up, paying, or using the service, you agree to be bound by them. If you do not agree, do not use Premly.
Premly is provided by Mirae Advisory Ltd, a company registered in England and Wales (company number: TBC, to be added once verified at Companies House), trading as Premly. Our registered office is TBC. You can contact us at hello@premly.co.uk.
In these terms, "we", "us", and "our" mean Mirae Advisory Ltd trading as Premly. "You" and "your" mean you, the customer using Premly.
The service
Premly is a software service that helps UK premises produce documentation under Martyn's Law (the Terrorism Protection of Premises Act 2025). The service includes a wizard that captures information about your premises, an AI-assisted document generator that produces a public protection procedure document, a staff acknowledgment flow, and ongoing maintenance of your document as guidance changes.
We grant you a non-exclusive, non-transferable right to use Premly for the duration of your subscription or for the documentation work covered by your one-off purchase. You may not resell, sublicense, or redistribute Premly or the documents it generates beyond your own premises.
Premly is intended for use by the responsible person for a UK premises under Martyn's Law, or by someone acting on their behalf. The service is not legal advice. We are not lawyers. We do not certify compliance, and the SIA does not endorse our service or any third-party service.
Accounts and access
You create an account when you complete a successful purchase. The email address you provide is your account identifier. You are responsible for keeping your access secure. You must not share your account credentials.
If you have reason to believe your account has been accessed by someone else, contact us at hello@premly.co.uk and we will help you secure it.
Pricing and payment
Premly is sold at three price points: £49 for a single one-off procedure document, £15 per month for an ongoing subscription covering one premises, and £149 per year for an ongoing subscription covering one premises. Multi-venue pricing is available on request. All prices are exclusive of VAT unless stated otherwise. VAT is added at the prevailing UK rate where applicable.
Payment is taken through Stripe at the point of purchase. Subscription renewals are taken automatically on the anniversary of your initial purchase (monthly or annual depending on your plan). We do not store your card details; Stripe does.
If a payment fails, we will attempt to take payment again over a short period. If payment cannot be taken after these attempts, your subscription may be suspended or cancelled.
Refunds
Our refund policy is set out in a separate Refund Policy document available at premly.co.uk/refund-policy. In summary: a 14-day money-back guarantee applies to first-time purchases, voided when you download your procedure document. See the Refund Policy for the full terms.
What you provide
To use Premly, you provide information about your premises. This includes the premises name and address, details of your operations (capacity, opening hours, layout), the responsible person's details, and email addresses of staff you wish to invite to acknowledge your procedure.
You must provide accurate information. The procedure document is generated from your answers; if your answers are inaccurate, the document will be inaccurate. You are responsible for ensuring the document accurately reflects your premises and procedures.
You confirm that you are entitled to provide the information you give us. In particular, you confirm that you have a lawful basis under the UK GDPR to provide us with staff email addresses for the acknowledgment flow, and that you will inform your staff that their data is being processed in this way.
Acceptable use
You agree not to:
- Use Premly for any premises type other than UK premises in scope of Martyn's Law.
- Misrepresent who you are or which premises you are the responsible person for.
- Generate procedures for premises you have no operational connection to.
- Attempt to extract bulk data from Premly, including the templates, generated procedures of other customers, or any internal data.
- Reverse engineer, scrape, or otherwise attempt to access Premly's underlying systems.
- Use Premly in a way that breaches UK law, including data protection law, terrorism law, or any other regulatory regime.
We may suspend or terminate accounts that breach these rules, and we may refuse refunds in such cases.
What we do not promise
Premly is software. We provide documentation aligned with Home Office statutory guidance. We do not guarantee compliance with Martyn's Law or any other law. Compliance is judged by the regulator (the SIA), not by us. The SIA does not endorse our service.
Our AI-assisted generation does its best to produce specific, accurate documentation based on your answers. Generated content is automatically validated to remove common errors, but we do not guarantee the absence of all errors. You should review your document carefully before relying on it.
Service availability
We aim to keep Premly available at all times, but we do not guarantee uninterrupted access. Scheduled maintenance, infrastructure issues, or events outside our control may make the service temporarily unavailable.
Generated documents remain available for download for the duration of your subscription. If you cancel your subscription, you can export your documents within 30 days of cancellation. After that, we may delete them in line with our retention policy.
Intellectual property
We own all intellectual property in Premly itself, including the software, the wizard questions, the document templates, and the underlying systems. You may not copy, modify, or redistribute these.
You own the content of the documents Premly generates for your premises. We grant you a perpetual right to use, modify, distribute, and rely on those documents for your premises' compliance purposes.
Data protection
We process two categories of data:
For our own purposes (account management, billing, communications, service improvement), we act as a data controller. Our handling of this data is set out in our Privacy Policy.
For the personal data you upload through the wizard (responsible person details, staff email addresses), we act as a data processor on your behalf. You remain the data controller. Specific data processing terms are set out in the Privacy Policy under the heading "Data we process on your behalf as a processor".
We comply with the UK GDPR, the Data Protection Act 2018, and the Data (Use and Access) Act 2025. We are registered with the Information Commissioner's Office. Our ICO registration number is TBC, once registered.
Liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by UK law.
Subject to that, our total liability to you under or in connection with these terms is limited to the greater of: (a) the total amount you have paid us in the 12 months before the event giving rise to the liability, or (b) £1,000.
We are not liable for any indirect or consequential losses, loss of profits, loss of business, loss of goodwill, or any losses arising from an incident at your premises. The procedure document is documentation; it does not in itself prevent or respond to incidents. You are responsible for the operational reality at your premises.
Termination
You can cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. You will not receive a refund for any unused portion of a billing period; see our Refund Policy.
We may terminate your access for breach of these terms, for non-payment, or if we cease to provide the service. If we terminate for non-payment or breach, no refund is due. If we cease to provide the service, we will give you at least 30 days notice and will offer a reasonable export of your data and documents.
Changes to these terms
We may change these terms from time to time. We will give you reasonable notice of any material changes (at least 30 days for existing customers). The current version is always available at premly.co.uk/terms. Continued use of the service after a change means you accept the change.
Governing law
These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the English courts.
